Entity Independence and Limitation of Liability Clause

Independent Entity. Reyes Wealth Consulting, LLC (“Reyes”) is a distinct and separate legal entity, organized and existing under the laws of its jurisdiction. Nothing in this agreement shall be construed to create a partnership, joint venture, agency, or employment relationship with any other party unless expressly stated.

Referral-Only Relationship. Reyes operates solely as an independent entity and shall not hold itself out as having any ownership interest in, control over, or legal responsibility for the operations, liabilities, obligations, or representations of any third party.

No Liability Assumption. Reyes Wealth Consulting, LLC shall not be held liable for any actions, representations, omissions, or breaches of contract by any third party. Reyes acknowledges that it is acting independently and bears full responsibility for its own legal and financial obligations.

Hold Harmless. Reyes agrees to indemnify and hold harmless any third party from and against any and all claims, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising from or related to Reyes’ conduct, operations, or agreements with other parties.
